TERMS & CONDITIONS

These Terms and Conditions govern access to `evaxchen.com` and purchases, inquiries, appointments, trade services, custom projects, and other interactions with EVA X CHEN, a design brand operated by VOGUEDECO LLC.
By accessing this website, submitting an inquiry, booking an appointment, approving a quotation, paying an invoice or deposit, or placing an order, you agree to these Terms and Conditions and the policies referenced in them.
## 1. Website Use
You may use this website only for lawful personal or business purposes.
You must not:
- Interfere with the operation or security of the website;
- Attempt to gain unauthorized access to the website, customer accounts, or related systems;
- Introduce malicious code or harmful technology;
- Scrape, reproduce, or commercially exploit website content without permission;
- Submit false, misleading, fraudulent, or unauthorized information; or
- Use the website in a manner that violates applicable law or the rights of another person or business.
We may suspend or restrict access when we reasonably believe the website is being misused.
## 2. Product Information
We aim to present products, materials, dimensions, colors, finishes, availability, and other information accurately. However, screen settings, photography, lighting, scale, handcrafted processes, and natural materials may result in differences between website images, samples, and finished pieces.
Stone veining, mineral markings, wood grain, color, texture, metal patina, textile weave, embroidery, hand-painted surfaces, hand-applied finishes, and reasonable craft tolerances naturally vary. These characteristics are part of the work and are not considered defects.
Product descriptions, specifications, dimensions, materials, availability, and pricing may be corrected or updated before an order is accepted.
For made-to-order, modified, or custom work, the approved quotation, invoice, drawings, specifications, finish selections, samples, and written approvals form the controlling description of the order.
## 3. Pricing and Taxes
Prices are shown in U.S. dollars unless stated otherwise.
Sales tax, shipping, freight, delivery, installation, storage, receiving, samples, design development, technical drawings, engineering, special handling, insurance, and other services are additional unless expressly included in writing.
We may correct pricing, calculation, or typographical errors before accepting an order. If an error is identified after payment but before acceptance, we will notify you and provide the opportunity to approve the corrected amount or receive a refund for the affected portion.
Unless otherwise stated, written quotations are valid for 30 days.
## 4. Orders and Acceptance
An order is not accepted until EVA X CHEN issues written confirmation and receives the required payment.
We may decline or cancel an order because of product or material availability, pricing error, payment concerns, shipping limitations, product restrictions, suspected fraud, or inability to meet requested specifications.
If we cancel an accepted order for reasons unrelated to customer breach, we will refund amounts paid for the canceled portion.
Before approving a quotation or paying an invoice or deposit, the customer is responsible for reviewing:
- Product name and quantity;
- Dimensions and orientation;
- Materials, colors, patterns, and finishes;
- Drawings and specifications;
- Customization details;
- Pricing and payment schedule;
- Shipping and delivery service;
- Delivery address and contact information; and
- Site access and installation requirements.
Production based on approved information is deemed authorized.
## 5. Payment
Payment requirements are stated at checkout or in the applicable quotation or invoice.
Ready-to-ship purchases may require full payment at the time of order. Made-to-order, modified, and custom projects may require a deposit and one or more progress or balance payments.
Deposits become non-refundable once design development, material procurement, production, or other approved work begins, except where required by law.
All balances and approved additional charges must be paid before the order is released for shipping, delivery, pickup, or installation.
Failure to make payment when due may delay production or delivery and may result in storage, handling, collection, or other reasonable charges.
## 6. Customization and Approvals
Selected pieces may be customized in dimensions, materials, finishes, orientation, configuration, upholstery, pattern, color, or other approved details.
Custom development may require separate fees for design services, drawings, samples, prototypes, engineering, technical review, or other development work.
Work begins only after required specifications, payments, materials, and written approvals are complete.
Changes requested after approval are not guaranteed. If a change is accepted, a written change order may revise:
- Product design or specifications;
- Price and payment schedule;
- Material availability;
- Production and delivery lead time; and
- Shipping, installation, or other project requirements.
Customer delay in providing information, materials, payment, or approval may move the order within the production schedule.
## 7. Customer-Supplied Materials and Content
Customer's own material, leather, hardware, drawings, photographs, artwork, patterns, or other components require written approval.
The customer is responsible for:
- Providing accurate specifications;
- Supplying sufficient quantity, including any required overage;
- Timely delivery to the designated location;
- Confirming suitability and performance;
- Obtaining rights and permissions necessary for the intended use; and
- The quality and performance of the customer-selected supplier.
Unless expressly agreed in writing, EVA X CHEN is not responsible for defects, delays, incompatibility, color variation, shortage, performance, or replacement of customer-supplied materials or components.
## 8. Lead Times
Production, shipping, and delivery dates are estimates rather than guarantees.
A stated production lead time begins only after all required payments, specifications, drawings, samples, materials, and written approvals are complete.
Production lead time does not include packaging, transit, delivery scheduling, receiving, storage, installation, or delays caused by customer action or inaction.
Delays may occur because of material availability, handcrafted production, supplier or carrier disruption, inspections, site conditions, weather, labor conditions, force majeure, or other circumstances outside our reasonable control.
We will communicate material changes when reasonably possible, but an estimated completion or delivery date is not a guaranteed deadline unless expressly agreed in writing.
## 9. Shipping, Delivery, and Returns
EVA X CHEN currently ships only within the contiguous United States unless another arrangement is expressly approved in writing.
Shipping, delivery, receiving, inspection, damage claims, cancellations, returns, and refunds are governed by our Shipping Policy and Return & Refund Policy. Those policies are incorporated into these Terms and Conditions.
The customer is responsible for confirming:
- Product dimensions and packaged dimensions;
- Door, hallway, elevator, stairway, and turning clearance;
- Loading, parking, and building restrictions;
- Site readiness and safe delivery conditions;
- Recipient or receiving warehouse availability; and
- Required building approvals, insurance certificates, labor, and equipment.
Additional costs resulting from inaccurate access information, failed delivery, redelivery, storage, long carries, stairs, special equipment, or unavailable recipients may be charged to the customer.
## 10. Inspection and Damage Claims
The customer or designated receiver should inspect the packaging and product at delivery whenever the service level allows.
Visible or suspected damage should be noted on the delivery receipt before signing. The customer should retain all packaging and photograph the packaging, labels, delivery receipt, complete item, and affected areas.
Damage, defects, or incorrect items must be reported to `hello@evaxchen.com` within 48 hours of delivery. Failure to document or report damage promptly may limit our ability to pursue a carrier claim or provide a remedy.
## 11. Care and Use
Products must be used, installed, stored, and maintained appropriately and in accordance with product-specific instructions and the EVA X CHEN Care Guide.
Damage caused by misuse, improper installation, unauthorized repair or modification, harsh cleaning, environmental exposure, normal wear, customer-supplied materials, or failure to follow care instructions is not considered a product defect.
Natural materials may change in color, texture, sheen, or patina over time. Such development is part of the material's character unless it results from a verified manufacturing defect.
## 12. Intellectual Property
The website and its text, images, graphics, logos, product names, product designs, drawings, specifications, patterns, videos, and other content are owned by or licensed to EVA X CHEN or VOGUEDECO LLC and are protected by applicable intellectual property laws.
No content may be copied, reproduced, modified, reverse engineered, manufactured, distributed, published, displayed, or commercially used without prior written permission.
Unless a separate written agreement expressly states otherwise, payment for a custom project purchases the approved physical product and agreed services. It does not transfer ownership of underlying product designs, concepts, drawings, patterns, methods, prototypes, specifications, or other intellectual property.
## 13. Submissions and Project Materials
When you submit photographs, plans, drawings, references, reviews, artwork, or other materials, you represent that you have the right to provide and use them for the requested project.
You authorize EVA X CHEN, VOGUEDECO LLC, and their service providers to use submitted materials as reasonably necessary to evaluate, quote, design, fabricate, deliver, install, and support the project.
Public marketing use of private project materials requires separate permission unless the materials were already made public by you for that purpose.
## 14. Trade Program
Trade Program eligibility, benefits, pricing, samples, and project support are subject to the current Trade Program terms.
Approval is at the discretion of EVA X CHEN, is not transferable, and may be reviewed or discontinued. Trade pricing is not retroactive and may not be combined with other discounts unless expressly approved.
Trade members remain responsible for client approvals, resale documentation, taxes, dimensions, site access, receiving, and project-specific requirements.
## 15. Third-Party Services
The website and our services may rely on or link to Shopify, payment processors, scheduling services, analytics providers, social platforms, manufacturers, carriers, receiving warehouses, installers, and other third parties.
Third-party services are governed by their own terms and policies. EVA X CHEN and VOGUEDECO LLC are not responsible for third-party websites, services, actions, or failures outside our reasonable control.
## 16. Disclaimer
To the fullest extent permitted by law, the website and its general content are provided on an “as available” basis. We do not warrant that access will be uninterrupted or error-free.
Nothing on the website replaces project-specific written specifications, professional site evaluation, or advice from a qualified architect, engineer, installer, conservator, attorney, tax adviser, or other specialist when such expertise is required.
## 17. Limitation of Liability
To the fullest extent permitted by law, VOGUEDECO LLC and EVA X CHEN will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website, products, or services.
Any direct liability relating to a product, service, or order will not exceed the amount paid for the specific product or service giving rise to the claim.
These limitations do not apply where prohibited by law and do not limit rights that cannot lawfully be waived.
## 18. Indemnification
To the extent permitted by law, you agree to indemnify and hold VOGUEDECO LLC and EVA X CHEN harmless from third-party claims, losses, liabilities, damages, or reasonable expenses arising from:
- Your unlawful use of the website;
- Your breach of these Terms and Conditions;
- Infringement caused by materials or instructions you supplied; or
- Your failure to provide accurate product, project, access, shipping, or delivery information.
## 19. Governing Law
These Terms and Conditions are governed by the laws of the State of California, without regard to conflict-of-law principles.
Rights and remedies available under mandatory consumer protection law remain unaffected.
## 20. Changes to These Terms
We may update these Terms and Conditions to reflect changes in our website, products, services, business practices, or legal obligations.
The updated version will be posted with a revised effective date. The terms in effect when an order is accepted will govern that order unless otherwise agreed in writing.
## 21. General Terms
If any provision is found unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision is not a waiver of that provision or any other right.
These Terms and Conditions, together with the applicable quotation, invoice, written specifications, Shipping Policy, Return & Refund Policy, Privacy Policy, Trade Program terms, and other expressly incorporated documents, form the agreement applicable to the relevant transaction.
